Coaching Agreement.
This Coaching Services Agreement ("Agreement") is entered into between TS Coaching LLC, a Nebraska limited liability company ("Coach"), and the client named at signing ("Client"), effective on the date the Client signs ("Effective Date"). Read this whole document before you sign. If anything is unclear, ask before signing. Signing means you agree to everything here.

What coaching includes
Coach provides one-on-one fitness coaching as a service. For the monthly fee described in Section 3, coaching includes:
- A custom training program built for the Client's stated goals, experience, schedule, and available equipment.
- Custom nutrition targets (calorie and macronutrient guidance) based on the Client's self-reported measurements and goals.
- A weekly check-in cycle: the Client submits a check-in form, and Coach responds with feedback and any adjustments.
- Text-based access to Coach between check-ins through Telegram, for questions related to the program.
- Periodic form-technique feedback on training videos the Client chooses to send.
Coaching is delivered remotely. There are no in-person sessions unless separately agreed in writing.
What coaching is not
This is the most important section. By signing, the Client acknowledges and agrees:
- Coaching is not medical care. Coach is not a physician, physical therapist, registered dietitian, psychologist, or other licensed healthcare provider, and does not provide medical, physical-therapy, clinical-nutrition, or mental-health treatment, diagnosis, or advice.
- The guidance is general fitness education, not a prescription. Training and nutrition guidance is general information tailored to the Client's stated situation. It is not a substitute for advice from the Client's own doctor or other qualified healthcare provider.
- The Client is responsible for getting medical clearance. The Client should consult a physician before starting any exercise or nutrition program, and should not begin or continue if a doctor has advised against it. Completing the health screen is a condition of coaching (see Section 5).
- Medical questions go to a doctor. If the Client raises something that needs a medical, clinical-nutrition, or mental-health professional, Coach will say so and will not attempt to coach around it. That is a boundary, not a failure of the relationship.
Fee, billing, and term
- Fee. Coaching is $149.99 per month.
- Billing. The fee is charged as an automatically recurring monthly subscription through Stripe, on or around the same day each month, starting on the Effective Date. The Client provides and maintains a valid payment method through the Stripe checkout and customer portal.
- Month to month. This Agreement has no fixed length and no minimum number of months. It renews monthly until either party ends it under Section 4 (Client) or Section 9 (Coach).
- Price changes. Coach may change the monthly fee with at least 30 days' written notice. A price change never applies to a month the Client has already paid for. If the Client does not accept a new price, the Client may cancel before it takes effect.
Cancellation, pausing, and refunds
- Cancel anytime. The Client may cancel at any time, for any reason, through the Stripe customer portal or by telling Coach in writing. Cancellation stops future charges. Coaching continues through the end of the already-paid month.
- No partial-month refunds. Because coaching work (programming, review, and access) is delivered across the whole month, monthly fees are not refunded on a partial-month basis once the month has started, except where a refund is required by law. This is not a penalty; it reflects that the work has already been done.
- Pause up to four weeks. The Client may pause coaching for up to four weeks total per calendar year (for travel, illness, life, anything). During a pause, billing is paused and no coaching work is delivered. To pause, the Client tells Coach in writing before the pause starts. Pausing beyond four weeks in a year may be handled as a cancellation and re-enrollment at Coach's discretion.
- Discretionary refunds. Coach may issue a refund or credit in individual cases as a goodwill matter. Doing so once does not create an obligation to do so again.
- Chargebacks. If the Client disputes a charge with their bank or card issuer instead of contacting Coach first, Coach may pause or end coaching immediately while the dispute is resolved, and may respond to the dispute with records of the coaching delivered (check-ins, programs, messages) as evidence the charge was valid. The Client agrees to raise a billing concern with Coach directly before filing a dispute.
Health screening and clearance
- Before any program is delivered, the Client must complete the health screen and sign the Liability Waiver and Release, both provided separately.
- If the Client answers YES to any health screen question, the Client agrees to obtain clearance from a physician before beginning the program. Coach will not deliver a training or nutrition program until that clearance is provided.
- The Client agrees to keep Coach informed of any change in health, injury, medication, pregnancy, or medical condition that could affect training or nutrition, and to stop training and consult a doctor if anything feels wrong.
Communication expectations
- Channel. Day-to-day messaging happens on Telegram at the handle Coach provides after enrollment. Formal items (this Agreement, the welcome packet, check-in responses) come by email.
- Response style. Coach reads everything and replies as soon as reasonably able. Replies are thoughtful, not instant. The Client should not expect real-time or on-demand availability, and should not rely on Coach for anything time-sensitive or urgent.
- Not for emergencies. Coaching messages are never the right channel for an emergency. In an emergency the Client should call a doctor, go to urgent care, or in the United States call or text 988 for the Suicide and Crisis Lifeline. Coach is not an emergency service.
- Honesty. Coaching works when check-ins are honest. The Client agrees to report training, nutrition, and how they feel as accurately as they can.
Program materials and intellectual property
- The programs, nutrition targets, checklists, written materials, and other deliverables Coach provides are for the Client's own personal use.
- Coach retains ownership of the underlying templates, methods, and written materials. The Client receives a personal, non-transferable license to use their own customized deliverables.
- The Client agrees not to resell, publish, or redistribute the materials, or share them so that others use them as their own coaching program. Sharing with a spouse, training partner, or friend for their casual reference is fine; reselling or republishing is not.
Assumption of risk
Exercise and changes to nutrition carry inherent risks, including injury. The Client accepts those risks. The details of that acceptance and the related release are in the separate Liability Waiver and Release, which is part of this coaching relationship and is incorporated here by reference.
Termination by Coach
Coach may end this Agreement, with a pro-rated refund of any unused paid time where practical, if:
- The Client is abusive, harassing, or dishonest in a way that makes coaching unworkable.
- The Client's situation is outside what Coach can safely or competently support (for example, something that needs a clinician).
- The Client stops responding for an extended period.
Coach will communicate the reason plainly and, where appropriate, point the Client toward a better-fitting resource.
Limitation of liability
To the fullest extent allowed by law, Coach's total liability arising out of or related to coaching is limited to the amount the Client paid Coach in the 12 months before the event giving rise to the claim. Coach is not liable for indirect, incidental, or consequential damages. Nothing in this Agreement limits liability that cannot be limited by law.
To the fullest extent allowed by law, any claim arising out of or related to coaching must be brought within 1 year after it arises.
Governing law and disputes
This Agreement is governed by the laws of the State of Nebraska, without regard to its conflict-of-laws rules.
Disputes about coaching are resolved the way the Terms of Service describe: the Client contacts Coach first and both parties try to settle it informally for 30 days. If that fails, the dispute goes to binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Douglas County, Nebraska. Neither party may bring a class, collective, or representative claim. Either party may instead bring an individual claim in small claims court if it qualifies; otherwise disputes are not brought in court.
The Client may opt out of arbitration at no cost by telling Coach in writing within 30 days of first agreeing to the Terms or this Agreement, whichever is later.
Entire agreement
This Agreement, together with the Liability Waiver and Release, the health screen, and the Coaching Privacy Addendum, is the entire agreement between the parties about coaching, and replaces any prior understanding. Any change must be in writing and agreed by both parties. If any part of this Agreement is found unenforceable, the rest stays in effect.
